Constitution of St Ouen’s Cricket Club
1.
Interpretation
In this constitution: - “St Ouen’s Cricket Club” or any team representing St Ouen’s Cricket Club in a
game of Cricket, hereinafter defined as the “Club” may be known by any of the
following: - Ø

S.O.C.C. “Constitution”
means the Constitution of the Club “Member” means any
person conforming to the membership rules of the Club 2.
Rules and Objectives
The Rules and Objectives of the
Club are those defined in Schedule A, which is attached to this Constitution. 3.
Notice of General Meetings
An annual general meeting or a general
meeting called for the passing of a special resolution shall be called by at
least 14 days clear notice. All other meetings shall be called by at least 14
days notice but may be called at a shorter notice if it is so agreed, by
those persons entitled to attend. The Notice shall specify the
day, time and place of the meeting and the general nature of the business to
be transacted (the Agenda) and, in the case of an annual general meeting,
that fact. The Notice shall be given to
all the members, however, the accidental omission to give Notice to, or the
non-receipt of Notice of a meeting by any member will not invalidate the
proceedings at the meeting. 4.
Proceedings at General Meetings
No business shall be transacted
at any meeting unless a quorum is present. Three members entitled to vote
upon the business transacted shall be a quorum. The Club will first appoint a
member as Chairman for that meeting. The Chairman is responsible for
directing the meeting in the order of the Agenda and that all business is
transacted in accordance with the Club’s Constitution. 5.
Votes of Members
On a show of hands, every
member present shall have one vote. Proxy votes will only be accepted if
previously notified to the duly appointed Honorary Secretary, at any time prior
to the commencement of the meeting. In the case of an equality of
votes, the Chairman shall be entitled to a casting vote in addition to any
other vote he may have. 6.
Rules of Membership
Any new member must first be
proposed and seconded by existing members of the Club. Membership is conditional upon
the new member signing a Club “Membership Declaration Form” and on payment of
the “annual subscription fee” (as decided at each annual general meeting). Renewal of membership is on an annual
basis and is recognised, only by the payment of the “annual subscription fee”
(as decided at each annual general meeting). The Club has the power to
formally request that any existing member of the Club, who is in breach of
the Club’s rules and objectives, be removed from the membership. It should be noted that the
conditions of membership of the Club are not those necessarily recognised by
the Jersey Cricket Association. 7.
Delegation of Duties
The Club has assigned the
day-to-day operation and responsibilities to its duly appointed officers and
any other persons appointed at the annual general meeting for that term. 8.
Appointment of Officers
The Club will appoint the
following officers who will be responsible for undertaking their duties to
the best of their abilities and in each case, in the best interests of the
Club: - Ø

Honorary Treasurer Each appointment shall be for a
term of one year from the date of appointment. There is no restriction on the
number of consecutive years that any member may hold an appointment but that
member must be re-elected at each annual general meeting. 9.
Minutes of Meetings
The duly appointed Honorary
Secretary is responsible for the taking of minutes at any Annual or
Extraordinary General Meeting and for maintaining them in readable form for
review by any member of the Club. 10. Accounts and Audit
The duly appointed Honorary
Treasurer is responsible for maintaining all bank accounts in the name of or under
the control of the Club, in accordance with the Clubs authorised mandate and
in accordance with sound banking principles. The duly appointed Honorary
Treasurer is also responsible for preparing Financial Statements, which
disclose the financial position of the Club at the beginning and end of the
financial period, together with any notes to support the movements over those
accounts. The Financial Statements will
be presented at each annual general meeting, for review and approval by those
members present. The Club does not require the
Financial Statements to be audited. 11.
Amendment to the Constitution Changes to the Constitution may
only be made at a properly convened annual general meeting and in accordance
with the previously defined procedures. Dated 14th March
